1. Introduction & Entity Identification

Welcome to KSV Solutions ("Company", "we", "us", or "our"). KSV Solutions is a software development and digital technology entity headquartered in Manavalakurichi, Kanyakumari District, Tamil Nadu, India. These Terms and Conditions ("Terms") govern your access to and use of our website (https://ksvsolution.com) and all related software development, website creation, custom ERP engineering, POS billing systems, SaaS platforms, and AI automation services provided by KSV Solutions.

2. Acceptance of Terms

By browsing our website, requesting a project quote, or executing a Statement of Work ("SOW") with KSV Solutions, you explicitly agree to comply with and be legally bound by these Terms. If you do not agree to these Terms in full, you must refrain from accessing our services or contacting our engineering teams for commercial engagements.

3. Scope of Engineering Services

KSV Solutions provides specialized digital technology engineering services including, but not limited to:

• High-performance website development using Next.js, React, and TypeScript.
• Bespoke software development, client portals, and workflow automation.
• E-Commerce platforms with Razorpay/Stripe payment gateway integration.
• Custom ERP systems for inventory control, procurement, and billing ledgers.
• Retail POS billing software with thermal receipt printing & barcode support.
• SaaS product engineering, multi-tenant database isolation, and API architecture.
• AI customer service bots, WhatsApp Business API integrations, and analytics dashboards.

4. User & Client Responsibilities

Clients engaging KSV Solutions agree to provide accurate project requirements, timely approvals, necessary brand assets (logos, copy, product catalogs), and access to authorized domain name servers or hosting accounts. You agree not to use software or web products built by KSV Solutions for illegal activities, unauthorized data scraping, spamming, copyright infringement, or malicious server operations.

5. Intellectual Property & Deliverable Ownership

All pre-existing code libraries, developer tools, and proprietary frameworks created by KSV Solutions remain the intellectual property of KSV Solutions. Upon full payment of all contracted milestone fees, KSV Solutions transfers exclusive operational rights and custom source code ownership for client-specific deliverables as detailed in the executed project contract.

6. Payments, Milestone Billing & Invoicing

Project billing structures are governed by individual project proposals. Unless otherwise specified in writing, custom development projects require an initial deposit upon project kick-off, followed by agreed milestone payments. Payments may be remitted via UPI, direct bank transfer, or credit card. Invoices unpaid beyond 15 days of due date may incur delayed delivery schedules.

7. Project Limitations & Scope Modifications

Any feature request, design alteration, or database extension requested after approval of initial project specifications will be evaluated as a Change Request. Additional engineering hours or module additions will be quoted separately before implementation begins.

8. Third-Party Services & APIs

Our software solutions may integrate third-party services such as Vercel, AWS, Google Cloud, Razorpay, Stripe, WhatsApp Business API, OpenAI, or Firebase. KSV Solutions is not responsible for outages, pricing adjustments, or API policy changes instituted by external third-party providers.

9. Privacy & Data Protection

Your submission of personal information and project data through our website is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Limitation of Liability

To the maximum extent permitted by applicable law, KSV Solutions shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of revenue, profits, data, or business operational interruptions arising from the use of or inability to use our software or web services.

11. Service Termination

Either party may terminate an ongoing service agreement if the other party breaches a material obligation and fails to cure such breach within 14 calendar days of written notice. Upon termination, client remains responsible for payment of all work completed prior to termination.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute or legal proceeding shall be subject to the exclusive jurisdiction of the courts located in Kanyakumari District, Tamil Nadu, India.

13. Modifications to Terms

KSV Solutions reserves the right to revise or update these Terms at any time. Revised Terms will be posted on this page with an updated "Last Updated" date. Your continued use of our website or services following any updates constitutes acceptance of the revised Terms.
